Hosted.ai Master Licence Agreement (MLA)
This Master Licence Agreement (MLA), along with all Orders, General Terms and Conditions (GTCs), and related documents, form the complete agreement (the “Agreement”) between you (the “Customer”) and Hosted AI Inc. (“Hosted.ai”, “we”, “us”). This Agreement covers your use of Hosted.ai Services. If an Order has different terms, those apply only to that specific Order.
“Hosted.ai Services” refers to our cloud-based software and support services, which we may update occasionally. Services can be provided using our infrastructure, yours, or a mix of both, as agreed in the relevant Order.
The proprietary Hosted.ai software included in this Agreement doesn’t cover any open-source versions we might separately offer. If we do provide open-source components, they’ll have their own licenses, not covered here. We follow all required open-source licensing rules.
You can only use Hosted.ai Services if we’ve both agreed in writing (including electronic agreements) on an Order. Only these Orders authorize usage—any internal documents you provide, like purchase orders, don’t change or impact this Agreement.
Using our services means you agree to our Acceptable Use Policy (Schedule 3), which we may update occasionally.
Special Terms
- Schedule 1 applies specifically to the Hosted.ai Software.
- Schedule 2 applies to Proof of Concept (POC) deployments.
Schedule 1 – Software Terms
You can use the Hosted.ai Software solely to manage compute resources and services provided under this Agreement. Your license is limited, non-exclusive, non-transferable, and only for your internal use.
You must access the Software through secure web interfaces or APIs. You cannot copy, reverse-engineer, or replicate our Software or its features.
As part of your active subscription, we’ll provide software updates, improvements, or bug fixes.
We may collect anonymized usage data to help us improve and maintain our services.
Schedule 2 – POC Deployments
A Proof of Concept (POC) is a short-term trial, usually up to 14 days, unless agreed otherwise, to evaluate our Software and Services.
The POC environment can be hosted by us, you, or both. We’ll clearly specify the hosting arrangement in your Order.
You must not use sensitive or production data during a POC. Any data used during this period may be deleted afterwards.
During the POC, our support is provided on a best-effort basis without guarantees.
POC services are provided “as-is” without warranties. We specifically disclaim all liability related to the POC.
Schedule 3 – Acceptable Use Policy (AUP)
When using our Services, you agree to:
- Not share illegal or harmful content.
- Respect intellectual property rights.
- Not interfere with the security or functionality of our services.
- Avoid unauthorized access attempts.
- Not distribute harmful software or malware.
We can suspend or terminate your access if you violate these rules. Changes to this policy will be posted online and effective immediately.
Schedule 4 – General Terms and Conditions (GTCs)
Definitions:
- “Affiliate”: Related entities controlled by either party.
- “Authorized User”: Individuals permitted to use our services under your Order.
- “Confidential Information”: Non-public information that must remain confidential.
- “Customer Data”: Data you upload to our services.
License Restrictions:
- Use is limited to internal purposes only.
- You cannot modify, redistribute, or compete with our services.
Fees and Payments:
- Payments due within 7 days from the invoice date.
- We may suspend services for late payments.
Confidentiality:
- Both parties must protect confidential information carefully.
Intellectual Property:
- We own our software and services; you own your data.
Data Protection:
- Both parties must comply with applicable data laws and our Data Processing Agreement (DPA).
Warranties and Liability:
- Services provided “as-is,” except specific warranties in this Agreement.
- Liability limited to amounts paid in the previous 12 months.
Termination Terms:
- Specific notice required for non-renewal or termination.
- Early termination during a committed term may incur charges.
Jurisdiction:
- Governed by Delaware law.
Force Majeure & Export Compliance:
- Neither party is liable for unavoidable disruptions beyond control.
- You must comply with U.S. export regulations and sanctions.

General
This Hosted.ai Master Licence Agreement (“MLA”), along with our General Terms and Conditions (“GTCs”), any applicable Order forms (“Orders”), and other documents we reference here (collectively, the “Agreement”), set out the full agreement between you (“you,” “your,” or “Customer”) and Hosted AI Inc. (“Hosted.ai,” “we,” “us,” or “our”).
This Agreement explains how you can access and use Hosted.ai Services. If any specific terms in an Order differ from what’s here, those Order-specific terms apply only to that Order.
“Hosted.ai Services” include our cloud-based software products and related support services, as detailed in your Order or on our website (https://hosted.ai). We might update or change these occasionally, and we’ll always make clear in the relevant Order exactly what you’re getting.
Services can be delivered in three ways: fully hosted by us, hosted entirely by you, or using a mix of your infrastructure and ours (“hybrid model”). Your Order will clarify this arrangement.
The software we provide under this Agreement is our own proprietary software. It doesn’t include any separate open-source versions we may also offer. If we provide open-source components, those have their own licenses, separate from this Agreement. We always comply fully with applicable open-source license requirements.
You must have a written or electronic Order agreed with us before using any Hosted.ai Services. Only Orders we mutually sign become legally binding. Any other internal document from you—like a purchase order—is for your own administration only, and won’t affect or change this Agreement.
By using our Services, you’re agreeing to follow our Acceptable Use Policy, found in Schedule 3, which we may update from time to time.
Schedule 1 – Software Terms
Scope of Use
You’re allowed to use Hosted.ai Software only for managing compute resources and services as described in your Order. We give you a limited, non-exclusive license for internal use only—meaning you can’t transfer or sublicense it.
Access and Hosting
You access our software securely through web interfaces or APIs. No source code is provided, and you’re not allowed to copy, duplicate, or reverse-engineer the software or its functions.
Software Updates
We’ll regularly provide software updates, improvements, and bug fixes. These are included as part of your ongoing subscription unless we’ve specifically agreed otherwise.
Performance Data
To continually improve our software, we might collect anonymized usage and performance data. We’ll never collect sensitive or identifiable data without your explicit permission.
Third-Party Libraries
Sometimes, our software includes third-party libraries or dependencies. These come with their own licensing terms, which we’ll provide on request.
Schedule 2 – Proof of Concept (POC) Deployments
Definition
A Proof of Concept (“POC”) is a short-term evaluation (typically up to 14 days) allowing you to test Hosted.ai Software and Services to see how they meet your needs.
Duration
Unless your Order says otherwise, each POC lasts no longer than 14 days. To continue use beyond this, you’ll need a new commercial Order.
Hosting Arrangements
We’ll clarify in the Order who hosts the POC environment—us, you, or a combination of both. Regardless, we can stop access to any Hosted.ai-managed POC environment anytime at our discretion.
Data Handling
You must not use production, real-world, or sensitive data during a POC. We won’t retain or protect data from a POC environment—expect any data entered to be deleted after the POC ends.
Support
During a POC, we’ll provide support on a best-effort basis, meaning we can’t promise response times or specific service levels.
No Warranties
We provide POC services entirely “as-is,” without any warranties. We expressly disclaim liability for anything arising from your use of a POC deployment.
Schedule 3 – Acceptable Use Policy (AUP)
When using Hosted.ai Services, you agree to:
- Comply with all applicable laws.
- Not upload or share unlawful, harmful, offensive, or abusive content.
- Respect other people’s intellectual property rights.
- Not disrupt or interfere with service security or functionality.
- Not try to access services without authorization.
- Not distribute malware, viruses, or harmful code.
If you violate this policy, we can immediately suspend or terminate your access. We might update this policy occasionally—changes will be posted online and effective immediately.
Schedule 4 – General Terms and Conditions (GTCs)
Definitions
Simple definitions for key terms used throughout the Agreement, including Affiliate, Authorized User, Confidential Information, and Customer Data.
License Restrictions
You can use our services only internally, not to create competing products or redistribute our software.
Fees and Payments
Invoices must be paid within 7 days. Late payments might result in suspension of services and interest charges.
Confidentiality
Both of us agree to carefully protect each other’s confidential information, using at least the same care as with our own important information.
Intellectual Property
We retain ownership of Hosted.ai Services, software, and all related intellectual property. You retain ownership of your Customer Data.
Data Protection
We’ll both comply fully with applicable privacy laws. Our Data Processing Agreement (DPA) governs any personal data processing we do on your behalf.
Warranties and Liability
We guarantee our services match their descriptions under normal use conditions. Aside from that, all services are provided “as-is.” Our liability is limited to what you’ve paid us in the past 12 months.
Termination and Renewal
Automatic renewal terms will be specified clearly in each Order. Early termination within committed terms might lead to extra charges unless due to our material breach. All termination requests must be confirmed by us.
Jurisdiction
Delaware law applies to any disputes or interpretations of this Agreement.
Force Majeure
Neither of us is responsible for delays or failures outside our reasonable control, like natural disasters, government actions, or major disruptions.
Export Compliance
You must strictly follow U.S. export laws and regulations. Don’t use or share our software or services with prohibited countries, entities, or persons subject to U.S. sanctions.

This Hosted.ai Master Licence Agreement (“MLA”), along with our General Terms and Conditions (“GTCs”), Orders, and referenced schedules (together, the “Agreement”), form the complete agreement between you (“you,” “your,” or “Customer”) and Hosted AI Inc. (“Hosted.ai,” “we,” “us,” or “our”).
This Agreement governs your access and use of Hosted.ai Services. If terms in an Order conflict with this MLA, those Order-specific terms apply only to that Order.
“Hosted.ai Services” include our cloud-based software and support services, as detailed in your Order or on our website (https://hosted.ai). Services can be provided via our infrastructure, your infrastructure, or both, as specified in each Order.
Our proprietary Hosted.ai software is distinct from any open-source software we might offer separately, which has its own licenses. We fully comply with all applicable open-source licenses.
You may use our Services only if we’ve both signed an Order (including electronic acceptance). Any other documents (e.g., purchase orders) you create internally don’t alter or add to this Agreement.
Using Hosted.ai Services means you agree to follow our Acceptable Use Policy in Schedule 3.
Schedule 1 – Software Terms

Third-Party Libraries

Your Order will specify clearly whether the POC environment is hosted by us, you, or both. We reserve the right to terminate access to any Hosted.ai-managed POC at any time.
Data Handling
You explicitly agree not to use sensitive, confidential, or production-level data during the POC. We have no obligation to retain or secure data used during a POC; all such data may be deleted immediately after the evaluation ends.
Support
Support during a POC is provided on a best-effort basis, with no guaranteed service levels or response times.
No Warranties
POC services are provided “as-is” without any warranty. We expressly disclaim all liability arising from POC use.
Schedule 3 – Acceptable Use Policy (AUP)
You explicitly agree that when using Hosted.ai Services, you will:
- Follow all applicable laws and regulations.
- Not upload or distribute illegal, harmful, or abusive content.
- Respect intellectual property rights of others.
- Not disrupt or compromise the security or functionality of services.
- Not attempt unauthorized access to services or related infrastructure.
- Avoid distributing harmful software or malicious code.
Violation of this policy gives us the right to immediately suspend or terminate your access without prior notice and to take any additional legal actions we deem necessary.
This policy may be updated from time to time. Updated versions will be published online and take effect immediately.
Schedule 4 – General Terms and Conditions (GTCs)
Definitions
Clear definitions for key terms used, including Affiliate, Authorized User, Confidential Information, and Customer Data, remain as previously stated in the detailed Agreement.
License Restrictions
You agree to use our Services only for your internal business purposes. You may not redistribute, sublicense, modify, or compete directly with our software or services.
Fees and Payments
Invoices must be paid within 7 days from issue. Late payments may incur interest charges and result in suspension of services until payment is resolved.
Confidentiality
Both parties agree to protect each other’s Confidential Information with the same care as their own sensitive information, but not less than reasonable care. Confidentiality obligations last at least 5 years after the Agreement ends, or indefinitely for trade secrets and source code.
Intellectual Property
Hosted.ai retains ownership of all intellectual property related to our software and services. You retain ownership of your data, with no rights granted to us except as necessary to provide services.
Data Protection
Both parties agree to fully comply with applicable data protection laws, including our Data Processing Agreement (DPA).
Warranties and Liability
Our services are provided “as-is,” except as explicitly warranted in this Agreement. To the maximum extent allowed by law, our liability for any claims won’t exceed the total amount you’ve paid us in the 12 months preceding a claim. We expressly disclaim indirect, consequential, punitive, or special damages.
Indemnification
You agree to indemnify and defend Hosted.ai from any third-party claims arising from your misuse or unauthorized use of our software, your violation of applicable laws, or breaches of confidentiality or data protection requirements.
Termination and Renewal
Each Order clearly specifies renewal periods. To terminate or prevent automatic renewal, provide written notice at least 90 days before the end of the current term. Early termination during committed terms (unless due to our unresolved material breach) requires immediate payment of remaining fees.
Jurisdiction
This Agreement is governed by Delaware law. Any disputes will be resolved exclusively in Delaware courts.
Force Majeure
Neither party is responsible for delays or failures beyond reasonable control (e.g., natural disasters, pandemics, government actions, terrorism, network outages). The affected party must promptly notify the other and attempt to mitigate impacts.
Export Compliance
You explicitly agree to comply with all applicable U.S. export laws, including EAR, ITAR, and OFAC sanctions. You may not directly or indirectly transfer our software or services to prohibited entities, persons, or locations. You agree to indemnify us fully against all claims arising from your violation of these export compliance obligations.
